1. Agreement to These Terms

These Terms of Use (the “Terms” or “Terms of Use”) are a binding agreement between you and Tacoma Screw Products, Inc. ("Tacoma Screw," "TSP," "we," "us"). They govern your access to and use of our websites, including tacomascrew.com, the Tacoma Screw mobile applications, our AI Chat Assistant, and any other digital services we link these Terms to (together, the "Services").

By accessing or using the Services, you agree to these Terms. If you do not agree to these Terms of Use, do not use the Services.

If you use the Services on behalf of a business or other organization, you represent that you have authority to bind that organization, and "you" means both you and that organization.

The Services are intended for business use by people who are at least 18 years old. The Services are not directed to children under the age of 18.

2. How These Terms Fit with Our Other Agreements

In addition to these Terms of Use, by using the Services, you have also agreed to additional documents governing the Services, including our Conditions of Sale and our Privacy Policy. Each such document governs different matters in connection with our Services as described below:

Order of Precedence. If there is a conflict between any of the foregoing documents or any other agreement entered into between you and Tacoma Screw, the following order of priority shall control:

1. Any other signed written agreement, if any, between you and Tacoma Screw shall control over any other document.
2. For any matters relating to the purchase of products, the Conditions of Sale shall control.
3. For any matters relating to use of the Services, these Terms of Use shall control.
4. Terms posted on a specific page or feature control over these general terms for that page or feature.
5. For any matters related to your Personal Data (as that term is defined in the Privacy Policy), the Privacy Policy shall control.

3. Changes to These Terms

We may update these Terms of Use from time to time. When we do, we will update the Effective Date above. Material changes will be announced through a notice prominently displayed in connection with the Services or by email. Your continued use of the Services after a change takes effect means you accept the updated Terms of Use. If you do not agree, stop using the Services.

4. Your Account

Some features of the Services require an account. When you register:

• Provide accurate, current, and complete information, and keep it updated.
• Keep your username and password confidential. Do not share credentials across users. Each person who needs access should have their own account or login credentials.
• You are responsible for all activity that occurs under your account, whether or not you authorized it.
• Notify us promptly at [email protected] using the information provided in the “Contact Us” section below if you believe your account has been compromised or used without authorization.

Account access is tied to your company's customer relationship with Tacoma Screw, including account-specific pricing, order history, and credit terms. That information is confidential to your company. Do not disclose it to third parties, including our competitors.

We may suspend or terminate an account at any time, including for inactivity, non-payment, suspected compromise, or violation of these Terms.

5. Acceptable Use

You may use the Services for legitimate business purchasing, product research, and account management purposes. You may not:

• Use robots, spiders, scrapers, crawlers, or other automated means to access, monitor, copy, or extract content, pricing, availability, or product data, except for search engine crawlers operating in accordance with our robots.txt;
• Collect or harvest pricing or product data for competitive analysis, resale, republication, or to build or improve a competing product, catalog, dataset, or AI model;
• Circumvent, disable, or interfere with security features, access controls, rate limits, or authentication;
• Probe, scan, or test the vulnerability of the Services, or breach or attempt to breach security or authentication measures, without our prior written permission;
• Introduce malware, or any code intended to disrupt, damage, or gain unauthorized access to the Services or any user's data;
• Access another user's account, or use credentials you are not authorized to use;
• Impersonate any person or misrepresent your affiliation with any person or organization;
• Interfere with the proper working of the Services, including by placing unreasonable load on our infrastructure;
• Frame, mirror, or deep-link the Services in a way that misrepresents their source;
• Use the Services for any unlawful purpose, or in violation of any applicable export, sanctions, or trade control law; or
• Reverse engineer, decompile, or disassemble any part of the Services, except where that restriction is prohibited by law.

We may investigate suspected violations, and we may involve law enforcement in our sole discretion.

6. Our Content and Intellectual Property

The Services and their contents, including text, product descriptions, images, photographs, video, illustrations, icons, graphics, page layouts, data, compilations, and software (collectively, "Content"), are owned by Tacoma Screw or our licensors and are protected by copyright, trademark, and other intellectual property laws. The selection, arrangement, and enhancement of the Content is protected as a collective work.

Your license. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services, and to view, download, and print Content, solely for your internal business purposes in connection with purchasing from Tacoma Screw. Everything not expressly granted is reserved.

What you may not do. You may not reproduce, distribute, publish, transmit, republish, repost, modify, create derivative works from, publicly display, frame, or sell any Content, or use it for any commercial purpose other than purchasing from us.

Trademarks. "Tacoma Screw Products" and our logos, names, and service marks are trademarks of Tacoma Screw Products, Inc. Nothing on the Services grants any license or right to use them without our prior written permission.

Third-party marks. Manufacturer names, brand names, part numbers, and logos appearing on the Services are the property of their respective owners and are used to identify the products we distribute. Their appearance does not imply endorsement or affiliation and does not grant you any right to use them.

7. Content You Submit

You may submit content to us, including product reviews, questions, photographs, videos, drawings, specifications, and messages to our chat assistant or customer service team ("Submissions").

• You are responsible for your Submissions, and you represent that you have the right to provide them and that they do not infringe anyone's rights or violate any law.
• Do not send us confidential or proprietary information through the Services unless we have a written confidentiality agreement covering it. Absent such an agreement, Submissions are not confidential.
• You grant us a non-exclusive, worldwide, royalty-free, perpetual, irrevocable, sublicensable license to use, reproduce, modify, publish, and display your Submissions in connection with operating and promoting our business.
• Feedback. If you send us suggestions or ideas for improving the Services, we may use them freely with no obligation or compensation to you.
• We may remove any Submission at any time for any reason.
• Submissions shall also be subject to the terms and conditions of our Privacy Policy.

8. AI Chat Assistant

Our Services include an artificial intelligence (“AI”) chat assistant (the “AI Chat Assistant”).

It is software, not a person. The AI Chat Assistant is powered by generative artificial intelligence. It will identify itself as AI at the start of each conversation and whenever you ask.

Informational only. Responses are generated automatically and may be inaccurate, incomplete, or out of date. Nothing the AI Chat Assistant says is:

• A quotation, offer, or acceptance of an order
• A commitment on price, availability, lead time, or delivery
• A warranty, guarantee, or representation about any product
• Engineering, structural, load rating, torque, material compatibility, code compliance, safety, regulatory, or legal advice

Before you rely on anything the AI Chat Assistant tells you, confirm it with a Tacoma Screw representative. See also Section 9.

Purchases are separate. Orders are governed by the Conditions of Sale. No statement by the AI Chat Assistant modifies those conditions, creates a binding quote, or constitutes acceptance of an order.

Rules for using the AI Chat Assistant. In addition to Section 5, you may not:

• Attempt to extract, alter, or override the AI Chat Assistant's instructions or configuration, or otherwise manipulate it into behaving outside its intended purpose
• Use the AI Chat Assistant through automated means, or to generate content unrelated to Tacoma Screw products and services
• Submit another person's personal information without their permission
• Submit unlawful, harassing, threatening, or abusive content

Sessions are logged. Conversations are recorded and may be reviewed by Tacoma Screw staff for quality, accuracy, safety, and training purposes, and may be forwarded to a sales or service representative so they can follow up with you. See our Privacy Policy for how we handle this data and how long we keep it.

Do not submit sensitive information. Never enter payment card numbers, bank account details, government identification numbers, health information, or passwords into the chat window.

Availability. The AI Chat Assistant is provided as a convenience. We may change, limit, suspend, or discontinue it at any time, and we may revoke your access to it for misuse.

9. Product Information and Specifications

We distribute products manufactured by third parties. Product descriptions, specifications, dimensions, material grades, certifications, load ratings, chemical data, safety data sheets, drawings, and images on the Services are supplied by manufacturers and other third parties.

• We do not independently verify manufacturer data, and we do not warrant its accuracy or completeness.
• Images are representative. Actual products may vary in appearance, finish, packaging, or country of origin.
• Selecting the right product for your application is your responsibility. Tacoma Screw does not provide engineering services through the Services and does not evaluate whether a product is suitable, safe, or code-compliant for your intended use. Consult a qualified engineer or the manufacturer's technical documentation.
• Always read and follow the manufacturer's instructions, warnings, and safety data sheets before use.
• Some products are subject to Proposition 65 warnings.
• Products, specifications, and availability are subject to change without notice.

10. Pricing, Availability, and Errors

Prices and availability shown on the Services are subject to change without notice and may differ from prices at a branch or in a printed catalog. Account-specific pricing is visible only when you are signed in.

Despite our best efforts, the Services may contain typographical errors or inaccuracies in price, description, or availability. We reserve the right to correct any error and to change or update information at any time without notice, including after you have submitted an order, and to cancel any order arising from an error. See the Conditions of Sale for how orders are accepted.

11. Mobile Applications

If you download a Tacoma Screw mobile application, we grant you a limited, revocable, non-exclusive, non-transferable license to install and use it on a device you own or control, for your internal business purposes.

• Your use is also subject to the terms of the app store from which you downloaded it.
• The application may download and install updates automatically.
• Apple Inc. and Google LLC are not parties to these Terms and have no responsibility for the application or its content. To the extent Apple's App Store terms require it, Apple is a third-party beneficiary of these Terms and may enforce them, and any claim regarding the application should be directed to us, not Apple, at the contact information below.
• The application may collect data as described in our Privacy Policy.

12. Third-Party Links and Services

The Services may link to sites and resources we do not control, including manufacturer sites, procurement platforms, social media, and app stores. We provide those links for convenience only. We make no representation about their content and are not responsible for them. Your use of them is at your own risk and subject to their terms.

13. Availability and Changes to the Services

We may change, suspend, limit, or discontinue any part of the Services at any time, with or without notice. We do not guarantee that the Services will be available, uninterrupted, or error-free, and we are not liable for any unavailability.

14. Disclaimer of Warranties

The Services and all Content are provided "as is" and "as available," without warranty of any kind. To the fullest extent permitted by law, Tacoma Screw disclaims all warranties, express, implied, or statutory, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement, and any warranties arising from course of dealing or usage of trade.

We do not warrant that the Services will be uninterrupted, timely, secure, or error-free, that defects will be corrected, or that the Services or the servers that make them available are free of viruses or other harmful components.

This section applies to the Services. Warranties on products you purchase are addressed in the Conditions of Sale.

Some jurisdictions do not allow the exclusion of certain warranties, so some of these exclusions may not apply to you.

15. Limitation of Liability

To the fullest extent permitted by law:

• Tacoma Screw and its officers, directors, employees, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, loss of goodwill, business interruption, or cost of substitute goods or services, arising out of or relating to your use of or inability to use the Services, whether based in contract, tort, strict liability, or any other theory, and even if we have been advised of the possibility of such damages.
• Our total aggregate liability for all claims arising out of or relating to the Services will not exceed the greater of ONE HUNDRED DOLLARS ($100) or the amount you paid Tacoma Screw for products or services purchased through the Services within the SIX (6) MONTH period immediately preceding the event giving rise to the claim.

These limitations apply to claims relating to the Services. Claims relating to products or the sale of any products that you purchase are governed by the Conditions of Sale.

Nothing in these Terms limits liability that cannot be limited under applicable law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, intentional misconduct, liability that applicable law prohibits from being limited, or obligations that may be expressly made non-limited elsewhere in these Terms.

16. Indemnification

You agree to defend, indemnify, and hold harmless Tacoma Screw and its officers, directors, employees, and agents from any claims, damages, liabilities, losses, and expenses, including reasonable attorneys' fees, arising out of or related to: (a) your use of the Services; (b) your Submissions; (c) your violation of these Terms; (d) your violation of any law or the rights of a third party; or (e) unauthorized use of your account.

17. Termination

We may suspend or terminate your access to the Services at any time, with or without notice or cause. You may stop using the Services at any time.

Sections that by their nature should survive termination will survive, including Sections 6, 7, 14, 15, 16, 19, and 20.

18. Electronic Communications

By using the Services, you consent to receive communications from us electronically, including by email and through notices posted on the Services. You agree that electronic communications, agreements, and notices satisfy any legal requirement that they be in writing. You also agree that your electronic acceptance, including clicking to place an order or to accept terms, constitutes your signature.

19. Export Control and Destination Restrictions

The Services are controlled and operated from the United States and are intended for customers of Tacoma Screw within the United States. We make no representation that Content or products are appropriate or available for use in other locations.

You are responsible for complying with all applicable export control, sanctions, and trade laws, including the U.S. Export Administration Regulations and the International Traffic in Arms Regulations, and you agree not to export, re-export, or transfer any product or Content in violation of them. Some products we distribute may be subject to export restrictions.

20. Governing Law and Venue

These Terms and your use of the Services, and any dispute arising out of or relating to these Terms or the Services, are governed by and construed in accordance with the laws of the State of Washington, without regard to its conflict of laws principles. You and Tacoma Screw agree that the Superior Court of the State of Washington for Pierce County and (to the extent federal subject-matter jurisdiction exists) the United States District Court for the Western District of Washington, Tacoma Division shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms or the Services, and you consent to venue and personal jurisdiction in those courts. Each party irrevocably waives any objection based on improper venue or forum non conveniens to any proceeding brought in those courts.

The United Nations Convention on Contracts for the International Sale of Goods does not apply.

Class and Representative Proceedings. To the fullest extent permitted by applicable law, you and Tacoma Screw agree that each may bring claims against the other only in an individual capacity and not as a plaintiff or class member in any purported class, collective, representative, consolidated, or private-attorney-general proceeding.

21. Copyright Complaints

If you believe content on the Services infringes your copyright, contact us at [email protected] with enough detail to identify the work and the material you are concerned about, and we will review it. We may remove content and terminate the accounts of repeat infringers.

22. Accessibility

We are working to make the Services accessible to people with disabilities. If you have difficulty using any part of the Services, contact us at [email protected] and we will work with you to provide the information or transaction you need through another channel.

23. General

• Severability. If any provision is found unenforceable, it will be limited or removed to the minimum extent necessary, and the rest of these Terms remain in full effect.
• No Waiver. Our failure to enforce any provision is not a waiver of our right to do so later.
• Assignment. You may not assign these Terms without our written consent. We may assign them freely, including in connection with a merger, acquisition, or sale of assets.
• No Third-Party Beneficiaries. Except as stated in Section 11, these Terms create no third-party beneficiary rights.
• Entire Agreement. These Terms, together with the Conditions of Sale and Privacy Policy, or, if applicable, any other written agreement entered into between you and Tacoma Screw, comprise the entire agreement between you and Tacoma Screw regarding the Services, and supersede any prior agreements on that subject.
• Headings. Headings are for convenience only and do not affect interpretation.
